Terms & Conditions

2.1 Acceptance of Terms

These Terms & Conditions ("Terms") govern access to and use of TradeAlly and the Prime TMS website, operated by Prime Trade Management Services Pte Ltd (UEN 202020771G). By creating an account or using the Services, you agree to be bound by these Terms, which are governed by the laws of the Republic of Singapore.

2.2 Account Registration

Users must register with accurate, current information and are responsible for maintaining the confidentiality of login credentials and for all activity under their account. Accounts are non-transferable without prior written consent from Prime TMS.

2.3 Free Trial Terms

New users may access a 30-day free trial including up to 70 screenings and a maximum of 100 data lines per batch upload. The trial ends on the earlier of 30 days from registration or use of 70 screenings; these limits apply equally across all screening functions. No payment card is required unless otherwise stated at sign-up. At the end of the trial, continued access requires selection of a paid plan; trial data may be retained or deleted per our data retention practices.

2.4 Paid Subscription Terms

Paid plans (1–2 Users: SGD 79/month; 3–5 Users: SGD 149/month; >5 Users: custom pricing on enquiry) are billed annually in advance in Singapore Dollars (SGD), reflecting a 20% Early Bird Discount where applicable. Prices exclude applicable Goods and Services Tax (GST) unless stated otherwise.

2.5 Auto-Renewal and Cancellation

Subscriptions automatically renew for successive annual terms unless the user provides written cancellation notice in accordance with our Refund & Cancellation Policy prior to the renewal date. It is the user's responsibility to manage renewal preferences via account settings or by contacting mcooper@primetmsglobal.com.

2.6 Intellectual Property

All software, databases, screening logic, the TM Search Engine, trademarks, and content associated with the Services are the exclusive property of Prime TMS or its licensors. No license is granted except a limited, non-exclusive, non-transferable right to use the Services for internal business purposes during an active subscription.

2.7 User Responsibilities

Users must: use the Services lawfully; ensure accuracy of data submitted for screening; maintain confidentiality of results as appropriate; and comply with all applicable export control and trade compliance laws in their jurisdiction.

2.8 Prohibited Uses

Users must not: reverse engineer, decompile, or scrape the Services; resell or sublicense access without authorization; use the Services to violate any law, including sanctions or export control regimes; or misrepresent screening results to third parties as guaranteed compliance certification.

2.9 Limitation of Liability

To the maximum extent permitted by Singapore law, Prime TMS's aggregate liability for any claim arising from use of the Services shall not exceed the fees paid by the user in the 12 months preceding the claim. Prime TMS shall not be liable for indirect, consequential, or special damages. See also our Disclaimer / Liability Waiver.

2.10 Indemnification

Users agree to indemnify and hold harmless Prime TMS, its directors, and employees from claims arising out of misuse of the Services, breach of these Terms, or violation of applicable law.

2.11 Dispute Resolution

These Terms are governed by Singapore law. Disputes shall first be addressed through good-faith negotiation, failing which they shall be referred to the Singapore International Arbitration Centre (SIAC) under its Arbitration Rules, or to the courts of Singapore where arbitration is not applicable.

2.12 Modification of Terms

Prime TMS may amend these Terms at any time. Material changes will be notified via email or in-app notice at least 14 days before taking effect. Continued use after that date constitutes acceptance of the amended Terms.
